1. Acceptance of Terms

By accessing or using CollisionSuite ("the Service"), operated by Shadu Labs ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

CollisionSuite is a web-based fleet and collision repair management platform that provides:

• Vehicle fleet tracking and management
• Credit card transaction management and reconciliation
• Insurance and registration tracking
• Document management and storage
• Financial reporting and QuickBooks integration
• Loaner vehicle management

3. User Accounts

3.1 Account Creation

To use CollisionSuite, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree not to share your account credentials with others.

3.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use

4.1 Permitted Use

You may use CollisionSuite for lawful business purposes related to fleet and collision repair management.

4.2 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service
• Use the Service to spam or send unsolicited communications
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without permission

5. Data and Content

5.1 Your Data

You retain ownership of all data you upload to CollisionSuite ("Your Data"). You grant us a limited license to use Your Data solely to provide the Service.

5.2 Data Accuracy

You are responsible for the accuracy and legality of Your Data. We are not responsible for errors, omissions, or unauthorized use of Your Data.

5.3 Backup and Recovery

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Data.

6. Fees and Payment

6.1 Subscription Fees

CollisionSuite is provided on a subscription basis. Fees are charged based on your selected plan.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file.

6.3 Changes to Fees

We may change our fees with 30 days' notice. Continued use after the change constitutes acceptance.

6.4 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion.

7. Intellectual Property

7.1 Our Rights

CollisionSuite, including all software, design, text, graphics, and logos, is owned by Shadu Labs and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

8. Third-Party Services

CollisionSuite may integrate with third-party services (Google, Chase, QuickBooks, etc.). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers and Limitations

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADU LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

9.3 Maximum Liability

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Shadu Labs from any claims, losses, damages, or expenses arising from your use of the Service, Your Data, or your violation of these Terms.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with notice.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. You may request a copy of Your Data within 30 days of termination.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction where Shadu Labs operates, without regard to conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Shadu Labs regarding the Service.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.
